Cleaner Agreement

This is the contract between you, an independent cleaning professional, and Clienr, a trade name of 18002878 Canada Inc. It applies in addition to our Terms of Service. Where it covers the cleaner relationship, this agreement governs. By completing cleaner onboarding, you confirm that you have read, understood, and agree to it.

1. The Parties

This agreement is between 18002878 Canada Inc., operating as "Clienr" ("Clienr", "we", "us") and you, the individual registering as a cleaner ("you"). Clienr operates a marketplace platform; it is not a cleaning service provider and does not employ cleaners.

2. Your Status — Independent Contractor

You provide services as an independent contractor, not as an employee of Clienr. This means:

  • You set your own availability, service area, and rates of work, and decide which bookings to accept or decline
  • You are free to work for other clients, platforms, or businesses
  • You provide your own equipment; consumable supplies are provided only where a booking includes a supplies fee
  • Clienr does not withhold tax, and does not pay CPP, EI, vacation, or termination amounts — you are responsible for your own taxes and benefits
  • Nothing in this agreement creates an employment, partnership, or agency relationship

3. Eligibility & Verification

Before you can receive bookings, you must:

  • Be at least 18 years old and legally entitled to work in Canada
  • Complete government-ID identity verification through Stripe Identity
  • Complete the Clienr Certified training programme
  • Pass a manual review and approval by a Clienr administrator
  • Keep your profile and contact details accurate and current

4. Tax Information & Reporting

You are responsible for reporting and paying your own income tax on what you earn through Clienr. To meet our obligations under Canada's reporting rules for digital platform operators, you authorise Clienr to collect your Social Insurance Number (or business number) and to report your platform earnings to the Canada Revenue Agency where required.

Clienr will make an annual earnings summary available to you. You are responsible for registering for and charging GST/HST if and when your own taxable revenue requires it under Canadian law.

5. Commission, Earnings & Payouts

  • You keep 87.5% of the labour value of each completed booking. Clienr retains a 12.5% commission
  • Where a booking includes a supplies fee, that amount is passed through to you in full
  • Tips left by clients are passed through to you in full
  • After you complete a job, your earnings are released from escrow following a short holding period (about 24 hours). They then land in your bank account within a few business days, in line with Stripe's standard payout schedule
  • Payouts are made to your connected account via Stripe Connect. You must complete Stripe's onboarding and bank verification to be paid
  • Clienr may withhold a payout tied to any booking under active investigation until it is resolved

Fee rates are confirmed at the time each booking is created and are shown in your job details.

6. Your Obligations

  • Provide services professionally and as described in your profile
  • Honour bookings you accept and maintain accurate availability
  • Capture before-and-after photos on every job — this is required to complete a booking
  • Complete the job checklist before marking a booking complete
  • Treat clients, their property, and their belongings with care and respect
  • Maintain valid identity verification and comply with all applicable laws

7. Cancellations & No-Shows

You must follow our Cancellation Policy. Repeated late cancellations or no-shows affect your rating and may lead to suspension or deactivation under Section 9.

8. No Off-Platform Arrangements

You may not solicit or accept payment outside Clienr from any client you were introduced to through the platform, or otherwise arrange to circumvent our fees. Escrow protection, reputation, reviews, and any platform cover apply only to on-platform bookings — going direct removes all of them, for you and the client.

9. Conduct, Incidents, Strikes & Deactivation

We may suspend or permanently deactivate your account if you breach this agreement. This includes repeated late cancellations or no-shows, verified quality or conduct complaints, failure to maintain identity verification, or accumulating strikes under our incident system. Serious violations — including theft, abuse, or safety breaches — may result in immediate removal without prior warning.

10. Insurance & Liability

You are responsible for any damage, loss, or injury arising from the services you perform. You should maintain your own insurance appropriate to your work. Clienr operates as a marketplace and is not liable for the services you provide. Any platform-level protection we may offer applies only to qualifying on-platform bookings and on its own published terms.

11. Indemnification

You agree to indemnify and hold harmless Clienr, its directors, officers, and employees from any claims, damages, losses, or expenses arising from the services you perform, your breach of this agreement, or your interactions with clients.

12. Photos, Reviews & Content

You grant Clienr a licence to use the job photos you upload and the content of your profile to operate, display, and promote the platform. Ratings and reviews left by clients about your work form part of the platform record.

13. Confidentiality & Client Data

You may use a client's contact details, address, and access information only to perform the booking they relate to. You must not retain, share, or use this information for any other purpose. Your handling of personal data is also subject to our Privacy Policy.

14. Term & Termination

This agreement continues until ended by either party. You may stop offering services at any time. We may suspend or deactivate your account as described in Section 9. Payouts for completed bookings will still be settled, subject to any active investigation.

15. Changes to This Agreement

We may update this agreement from time to time. We will notify you of significant changes via email or platform notification. Continuing to use the platform after changes are posted constitutes acceptance of the updated agreement.

16. Governing Law

This agreement is governed by the laws of Canada and the Province of Ontario. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
